Element GTM — Terms of Service

1. Agreement to Terms

By accessing or using Element GTM (“Service”), operated by City Print LLC (“Company”, “we”, “us”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Element GTM is a B2B sales intelligence platform that helps sales professionals discover local businesses, enrich leads with contact information and call timing intelligence, and generate AI-powered sales scripts. The Service is provided on a subscription basis.

3. Account Registration

You must provide accurate and complete registration information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

4. Subscription & Billing

Subscriptions are billed monthly or quarterly as selected at checkout. Payments are processed securely through Stripe. Credits are allocated based on your subscription tier and reset each billing period. Unused credits do not roll over unless explicitly stated. You may cancel your subscription at any time through your account settings or the Stripe Customer Portal.

5. Acceptable Use

You agree to use Element GTM only for lawful B2B sales and marketing purposes. You will not:

• Use the Service to harass, spam, or engage in unlawful telemarketing
• Attempt to reverse-engineer, scrape, or redistribute data obtained through the Service
• Share account credentials or allow unauthorized access
• Use the Service in any way that violates applicable law

6. Telemarketing Compliance (TCPA)

Element GTM provides business intelligence data for legitimate B2B sales purposes. By using the Service, you represent and warrant that:

• You are solely responsible for complying with the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule (TSR), and all applicable federal, state, and local telemarketing laws
• You will maintain your own internal do-not-call list and honor all opt-out requests
• You will only place calls during legally permitted hours (generally 8 AM – 9 PM in the recipient’s local time zone)
• If using automatic dialing systems, you will obtain all required consents before placing calls

Element GTM does not provide legal advice. Consult qualified legal counsel regarding your specific compliance obligations.

7. Intellectual Property

All content, features, and functionality of Element GTM are owned by City Print LLC and protected by applicable intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

8. Data & Privacy

Your use of the Service is also governed by our Privacy Policy. Business data provided through the Service is sourced from publicly available information and third-party data providers. We do not guarantee the accuracy or completeness of any data.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. CITY PRINT LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that data will be accurate.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CITY PRINT LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless City Print LLC, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any applicable law (including telemarketing and privacy laws).

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Disclaimers, Limitation of Liability, and Indemnification) will survive.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service with a new “Last updated” date. Continued use after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of Washington, without regard to conflict of law principles.
